Agreement to terms
These Terms of Service govern your use of the Sharebrand website located at sharebrand.com and the Sharebrand services, including the API and all other services available on or through the site (collectively the "Services").
Sharebrand is a service owned and operated by Tarkle Limited, a company incorporated in Hong Kong. Licences are sold through Tarkle, Inc., an authorised reseller incorporated in Wyoming, United States. For the purposes of these Terms, "Sharebrand," "we," "us," and "our" refer to Tarkle Limited as service owner and operator. Tarkle, Inc. acts solely as principal authorised reseller and handles billing in that capacity only.
By using the Site or Services, you agree to these Terms. If you do not agree, you must not use the Site or Services. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you are subscribing on behalf of a company or organisation on a paid Starter, Pro, or Reseller plan, your use is additionally governed by the Business Services Agreement at sharebrand.com/legal/business-agreement. In the event of a conflict between these Terms and the Business Services Agreement, the Business Services Agreement governs for those customers.
Our domains
Sharebrand operates under a family of domains, all owned and operated by Tarkle Limited. The following domains collectively constitute the Sharebrand Platform and are covered by these Terms: sharebrand.com (primary domain), sharebrand.io, sharebrand.co, sharebrand.app, sharebrand.ca, and sharebrand.co.uk. Tarkle.com is the official domain of Tarkle Limited, the entity that owns and operates Sharebrand.
You may receive communications from Sharebrand or Tarkle Limited originating from any of these domains, including account notifications, billing receipts, support replies, and marketing communications where you have opted in. Billing communications may originate from Tarkle, Inc. as the authorised reseller. All such communications are official and sent on behalf of Sharebrand.
Eligibility
You must be at least 18 years old to use the Site or Services. By using our Services, you represent and warrant that you meet this age requirement and that all information you provide is accurate and current.
Account registration and security
To use the Services, you must register for an account by completing the registration form on the Site. Registration is subject to our approval, and we reserve the right to decline any application without providing a reason.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorised access to your account. We reserve the right to disable your account at any time if we determine it necessary for security reasons, if you fail to comply with these Terms, or if any information you provided during registration is false or inaccurate.
Acceptable use
Your use of the Services must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference and available at sharebrand.com/legal/acceptable-use. You are responsible for all content you upload, share, or transmit through the Services.
Your content and data
You retain full ownership of all files, content, and data you upload to or share through the Services. We do not claim any ownership rights to your content.
By using the Services, you grant us a limited licence to store, process, and transmit your content solely for the purpose of providing the Services to you. This includes making backups, generating previews, and sharing your content with recipients you designate.
You represent and warrant that you own or have the necessary rights to your content, that your content does not infringe on any third-party rights, and that your content complies with all applicable laws and these Terms.
You are solely responsible for backing up your content. While we implement robust backup systems, we recommend maintaining your own backups of important files.
Intellectual property
The Services, including all software, text, graphics, logos, and other content excluding your content, are owned by Tarkle Limited and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.
Payment and subscriptions
New accounts start with a 14-day free trial. No credit card is required to start a trial. After the trial period, continued use requires a paid subscription.
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Annual subscriptions save two months compared to monthly billing. See our pricing page for full details.
By subscribing to a paid plan, you authorise us to charge your payment method automatically for each billing cycle. All fees are exclusive of taxes, and you are responsible for paying any applicable taxes.
We will send you a reminder email 7 days before each subscription renewal. You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. We offer a 14-day money-back guarantee for new subscriptions. Please see our Refund Policy for full details.
We reserve the right to change our pricing at any time. Price changes will take effect at the start of your next billing cycle, with at least 30 days advance notice.
Service availability and support
Uptime
Our internal target is 99.9% monthly uptime for paid subscribers, measured as a percentage of total minutes in a calendar month during which the core file sharing and workspace services are accessible, excluding Scheduled Maintenance. Scheduled Maintenance means planned maintenance windows communicated to you at least 48 hours in advance.
We do not guarantee continuous, uninterrupted access. Outages can occur due to circumstances beyond our control, including third-party infrastructure, network issues, and force majeure events. If we experience significant downtime that we determine was within our control, paid subscribers may contact us to discuss a service credit. Credits are granted at our discretion, cannot be exchanged for cash, and are the maximum remedy available for service interruptions.
Support hours and response times
Sharebrand provides human support Monday through Friday, 10 AM to 4 PM Eastern Time, excluding United States federal holidays. Response times are targets, not guarantees.
- Trial period: Best effort, no committed response time.
- Paid plans (monthly/annual): We aim to respond within 2 business days.
- Reseller accounts: We aim to respond within 1 business day for platform-level issues.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice for significant changes that affect paid subscribers.
Third-party links and services
The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Sharebrand. These links are provided solely for your convenience and do not constitute an endorsement or recommendation by Sharebrand. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
Copyright and intellectual property
We respect intellectual property rights. If you believe that content on our Services infringes your copyright, please refer to our DMCA Policy at sharebrand.com/legal/dmca for instructions on submitting a notice. We may terminate accounts of repeat infringers.
Business Services Agreement
If you subscribe to Sharebrand on behalf of a business on a paid Starter, Pro, or Reseller plan, your use of the Services is additionally governed by the Business Services Agreement ("BSA"), which is incorporated into these Terms by reference. In the event of any conflict between these Terms and the BSA, the BSA governs with respect to business customers on paid plans.
The BSA does not apply to individual consumers, free plan users, or Lifetime plan holders. Those users are governed solely by these Terms of Service.
Reseller plan
If you subscribe to the Sharebrand Reseller plan, you operate a white-label file-sharing platform for your own clients under your own brand, domain, and pricing. Your use of the Reseller plan is governed by the White-Label Reseller Terms, which form an addendum to these Terms. In the event of a conflict, the Reseller Terms govern with respect to reseller activities.
As a Reseller, you are solely responsible for your own clients, including the terms and conditions you present to them, the support you provide, and your compliance with applicable laws. Sharebrand has no direct contractual relationship with Sub-Clients. You must disclose to your Sub-Clients that their access to the platform depends on your continued subscription with Sharebrand.
California privacy rights (CCPA/CPRA)
This section applies to California residents. Sharebrand collects Personal Information as described in our Privacy Policy to provide and improve our Services, process transactions, communicate with you, and comply with legal obligations. We do not sell your Personal Information. California residents may submit a verifiable consumer request through our contact page. We will respond within 45 days.
Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICES AT YOUR OWN RISK.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TARKLE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
Our total liability to you for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater. Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation.
Indemnification
You agree to indemnify and hold harmless Tarkle Limited, Tarkle, Inc., and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses including attorneys' fees arising from your use of the Services, your content, or your violation of these Terms.
Termination
We may terminate or suspend your access to the Services at any time, with or without cause, if we believe you have violated these Terms or for any other reason. Where circumstances permit, we will provide you with reasonable advance notice and an opportunity to export your data before termination.
You may terminate your account at any time through your account settings. Upon termination, your right to use the Services will immediately cease and your data will be scheduled for deletion according to the schedules set out in the Account deletion and data retention section below.
Account deletion and data retention
Sharebrand operates automated deletion schedules for all workspace types. All deletions under this section are permanent and irreversible. Once a workspace and its associated data are deleted, they cannot be recovered under any circumstances, and no copies are retained by Sharebrand.
Trial workspaces
New accounts receive a 14-day free trial. If you have logged in at least once during the trial period, a 7-day extension is offered automatically on day 13, bringing the maximum trial period to 21 days. If a paid subscription is not activated by the end of the trial period, the workspace is immediately suspended and access is revoked. The workspace and all associated files, data, and content are permanently deleted 21 days after the trial expires. The workspace slug is reserved permanently and cannot be reclaimed on a new signup, even after the workspace itself has been deleted.
Cancelled paid subscriptions
If you cancel a paid subscription, your account remains accessible through the end of the current billing period. After that date, access to paid features is revoked. All workspace data, uploaded files, and associated content are permanently deleted 30 days after the cancellation effective date. We will send a reminder email before deletion occurs. No data recovery is possible after the 30-day window has closed.
Free and unpaid accounts
Free-tier accounts — including legacy free accounts and any account that has never held a paid subscription — are subject to deletion after 6 consecutive months of inactivity. Inactivity is defined as no login, no file upload, and no workspace activity during the period. Sharebrand will send at least one email notification to the address on file before deletion is carried out. If no action is taken following that notice, the account, workspace, all files, and all associated data are permanently deleted. Access is lost permanently with no possibility of recovery.
Unverified accounts
Accounts where the email address has not been verified within 48 hours of signup are automatically and permanently deleted without notice. No data is retained.
Termination by Sharebrand
If Sharebrand terminates your account for a violation of these Terms or applicable law, all workspace data, files, and associated content may be deleted immediately without prior notice and without any grace or export period, at Sharebrand's sole discretion.
Data export responsibility
It is your responsibility to export your data before any applicable deletion deadline. Sharebrand strongly recommends maintaining independent backups of any files or content you consider important. Sharebrand accepts no liability for loss of data resulting from scheduled deletion under this section.
Governing law and disputes
These Terms are governed by the laws of Hong Kong SAR, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved in the courts of Hong Kong SAR. Tarkle, Inc., acting as principal authorised reseller, is subject to the laws of the State of Wyoming for matters specifically relating to its reseller and billing operations.
For users located in the European Union, the laws of your country of residence may also apply, and you may have the right to bring disputes in your local courts. For billing disputes relating to payment processing, users may also contact Tarkle, Inc. at the address below.
Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the last updated date. For significant changes, we will provide at least 30 days notice via email to the address associated with your account. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
